Anhui Conch Cement (SHA:600585, HKG:0914) announced that it has agreed to acquire from Anhui Conch Venture Investment Company Limited the No.4 and No.5 industrial plants of Yijiang High-tech Energy-Saving Equipment Manufacturing Base and the related land use rights, which is situate in Wuhu City, Anhui Province at a consideration of RMB220 million.

Under the Rules Governing the Listing of Stocks on Shanghai Stock Exchange, as Anhui Conch Venture holds more than 5% of the issued shares in Anhui Conch Cement, and Guo Wensan, Guo Jingbin and Ji Qinying (being Anhui Conch Cement's directors) are also the directors of Anhui Conch Venture, Anhui Conch Venture is a related party of Anhui Conch Cement, and the transactions between them constitute related party transactions.
